Advertising terms and conditions

1. GENERAL
a) All Advertisements accepted for publication by The Blowick Publishing Company LTD and or any of its group companies on any of its websites are accepted subject to these terms and conditions. Any other conditions proposed by the Buyer shall be void unless accepted by The Blowick Publishing Company LTD in writing.
b) In these conditions:
– “Advertiser” means the person or entity whose goods or services are advertised
– “Advertisement” means any supplied graphic image with links or advertorial articles promoting the Buyer
– “Buyer” means the person placing the order for the insertion on the Advertisement
– “Advertising Term” means the contract period you have agreed to advertise with The Blowick Publishing Company LTD
– “Working Days” means 9am to 5pm any day Monday to Friday inclusive other than Christmas Day, Good Friday, bank and other public holidays.
– “BPC LTD” means The Blowick Publishing Company LTD, (company number 12672541) registered office at 20-22 Wenlock Road, London, N1 7GU.
c) “OTS” and “OTS News” are trading names of BPC LTD.

2. ADVERTISING TERM
a) By agreeing to these terms and conditions the Buyer enters into an Advertising Term with BPC LTD.
b) BPC LTD will provide advertising services to the Buyer for the length of the Advertising Term.
c) Where no Advertising Term is stated or mutually agreed, the Advertising Term shall be one calendar month.
d) Following the conclusion of any Advertising Term, a new Advertising Term will commence automatically, until the Advertiser gives BPC LTD one weeks’s written notice to terminate the contract either on or after the minimum term.
e) Where a new Advertising Term begins automatically due to lack of cancellation of the Buyer, the length shall be one calendar month.

3. PAYMENT TERMS
a) All invoices rendered by BPC LTD to the Buyer under this agreement are 30 days net or by way of direct debit or standing order.
b) If BPC LTD receives payment from the Buyer more than 30 days after the due date of the invoice, BPC LTD may impose a late fee of £50.00. If BPC LTD has not received payment from the Buyer more than 60 days after the date of the invoice, BPC LTD may assess five percent simple interest on the unpaid invoice. Interest begins accruing on the invoice due date. If the Buyer has not paid an invoice for more than 90 days, BPC LTD may refer collection of the unpaid amount to a collections agency. If the Buyer’s unpaid invoices are referred to a collections agency, the Buyer shall pay all reasonable legal fees or collections agency fees.
c) BPC LTD may cancel all Advertisements placed by the Buyer in the event of late payment.

4. ADVERTISING
a) The Buyer must deliver complete creative content to BPC LTD in a format which complies with BPC LTD ad formats for such content. To cancel or alter any part of the advertising content after agreeing the contract the Buyer must inform BPC LTD by email. The Buyer will allow BPC LTD 3 Working Days to make any requested changes.
b) If the Buyer is supplying creative content or change of creative content to be used in rotations in the form of a redirected advertisement, the Buyer must inform BPC LTD in advance.
c) BPC LTD accepts no responsibility for the quality or reproduction of any photographs supplied by the Buyer, its agents or servants.
d) BPC LTD may remove any Advertisement which contains content or links to a site which in BPC LTD’s opinion is defamatory or objectionable or will bring BPC LTD into disrepute. The Buyer will indemnify BPC LTD from and against any claims or liability arising from the links contained in an Advertisement.
e) Advertisements may only contain such information and code as is necessary to run the Advertisement effectively on the relevant BPC LTD website. Advertisements may not contain tags, cookies, beacons, or similar technology which identifies users of any BPC LTD site or enables the Buyer or any third party to serve such users with any advertising other than the Advertisement.
f) If an Advertisement is supplied which does not comply with these terms and conditions or BPC LTD receives reasonable complaints regarding an Advertisement, BPC LTD may, at its discretion, remove the Advertisement from display without notice to the Buyer.
g) BPC LTD reserves the right to cancel any order without liability in the event of becoming aware of any meetings of creditors, bankruptcy, liquidation proceedings, the appointment of a receiver or administrative receiver over the whole or substantial part of the Buyer’s assets or any indication whatsoever of financial difficulties.
h) BPC LTD reserve the right to omit or suspend any Advertisement at any time for good reason, without liability to the Buyer and shall notify the Buyer as soon as possible if such omission or suspension is due to the act or default of the Buyer, the Advertiser or their respective servants or agents, then the Buyer shall pay for the Advertisement in full notwithstanding the Advertisement has not been published.
i) These conditions and all other express terms of the contract between BPC LTD and the Buyer shall be governed and construed in accordance with the laws of England and the parties hereby submit to the non-exclusive jurisdiction of the English courts.

5. BUYERS WARRANTIES AND INDEMNITIES
a) The Buyer warrants that the Advertisement does not contravene the British Code of Advertising Practice and is not in breach of any relevant legislation.
b) If any Advertisement submitted for publication contains the name or pictorial representation (photographic or otherwise) of any living person and/or part of any living person and/or copy by which any living person is or can be readily identified, the Buyer warrants that the Buyer or the Advertiser has obtained the authority of such living person to make use of such name, representation and/or copy.
c) the Buyer will indemnify and hold harmless BPC LTD from and against any claim that the Advertisement infringes the copyright, trademark, or other intellectual property rights of any person or that it is defamatory or infringes any other right of any person. BPC L TD reserves the right to withdraw and/or refuse to publish any Advertisement if it reasonably believes that the Advertisement may make BPC LTD or the Advertiser liable to any complaint, claim or proceedings.
